Abstract

This research aims to analyze the causes of the disparity in court decisions related to the position of the articles of association and the signatures of the directors in the cooperation agreement and legal certainty to the position of the articles of association and the signatures of the directors in the cooperation agreement related to the disparity of court decisions. The research method is carried out with normative juridical, with an analytical descriptive nature. Using secondary data in the form of primary and secondary legal materials. The data were analyzed qualitatively with deductive conclusions. The results of the research are (1) the court decision regarding the position of the articles of association and the signatures of the board of directors in the cooperation agreement occurred in decision 67/PK/PDT/2024 which focuses more on protecting third parties who are not aware of internal violations, by using a more flexible approach to violations of the articles of association. Meanwhile, decision 601/K/PDT/2016 emphasizes the importance of strict compliance with the articles of association as a legal basis, ignoring the good faith factor of third parties. These two rulings reflect different approaches to assessing the responsibilities of directors, with one prioritizing substantive justice (protection of third parties) while the other prioritizing formal legal compliance. Therefore, disparities in court decisions are caused by differences in legal interpretation, the absence of binding jurisprudence, and a lack of clear guidelines. This creates legal uncertainty that has an impact on the stability of the business world. (2) Legal certainty on the position of the Articles of Association and the signatures of the Board of Directors in the cooperation agreement related to the disparity of court decisions can use the doctrine of piercing the corporate veil. The application of this doctrine in the context of disparity in court decisions can provide a solution to the legal uncertainty that arises. By penetrating the legal personality of the company, the court can evaluate the motives and actions of the directors, ensuring that the violation of the articles of association does not harm the party in good faith. In addition, the application of this doctrine can strengthen the legal position of the articles of association as the main guideline in corporate governance.
