Abstract

This study comparatively analyzes the application of the concept of a Sole Proprietorship Limited Liability Company that adopts a one-level management system in Indonesia after Law Number 6 of 2023 concerning the Stipulation of Government Regulation in Lieu of Law Number 2 of 2022 concerning Job Creation Becomes Law, compared to the practice in Malaysia (Sendirang Berhad/Sdn Bhd) and Singapore (Private Limited/Pte Ltd). This study uses a normative legal method, this normative research can also be said to be doctrinal research or library research. This normative research is aimed at written regulations sourced from secondary data. The results of the study show that although all three jurisdictions adopt a one-shareholder system, there are substantial differences in the supervisory framework. Malaysia and Singapore have very detailed Company Laws in regulating the fiduciary duties of directors and the prohibition of conflicts of interest, and require a company secretary as the vanguard of compliance and division of responsibilities. In addition, the sanction system in both countries is stricter and more layered. On the other hand, PT Persero in Indonesia still faces internal supervision challenges due to the incomplete legal basis in regulating this aspect, the absence of corporate secretary obligations, and a sanction system that tends to focus on revoking legal entity status without any preventive measures. Therefore, this study recommends improving the legal framework of PT Persero in Indonesia by adopting more detailed regulations regarding fiduciary duties and conflicts of interest of sole directors.
