Abstract
The practice of contract manufacturing has become increasingly prevalent across various industrial sectors—particularly cosmetics, food, and healthcare—due to its ability to improve production efficiency without compromising brand ownership. However, this collaboration often gives rise to legal conflicts over the ownership of innovation and intellectual property rights (IPR), particularly trademarks and trade secrets. This study examines the legal protection afforded to registered trademarks used in contract manufacturing agreements and the mechanisms for transferring IPR over resulting product innovations. The research employs a normative juridical method with a statutory approach and case analysis, including jurisprudential review of the dispute between CV. Pratiwi Aesthetic Care and Ashanty Hermansyah. The findings indicate that maklon agreements must explicitly stipulate clauses on trademark and innovation ownership to avoid ambiguity. Moreover, official trademark license registration with the Directorate General of Intellectual Property (DGIP) is essential to ensure legal certainty. This research recommends strengthening the legal framework of maklon contracts, increasing business actors’ awareness of IPR, and enhancing enforcement to protect innovation in production-based collaborations.
