Abstract
In implementing sustainable business activities, of course every company needs capital and funding. One source of funding that can be used by companies is through the issuance of securities through public offerings as regulated under Law Number 8 of 1995 concerning the Capital Market. Business actors can also look for sources of funding or financing not through public offerings, one of which is usually called Medium Term Notes (MTN). As for the issues examined in writing this thesis, are how the Financial Services Authority regulates Limited Public Offering (Bonds) and Public Offering of Debt Securities? and how is the legal protection for securities consumers who purchase securities through a Public Offering (Bonds) compared to debt securities consumers who purchase through a Limited Public Offering (Medium Term Notes)? This research was conducted using the juridical-normative method, namely research by examining the related legal rules in the field of capital market law and the statutory approach and then analyzing the relationship between these rules systematically. MTN prior to the issuance of OJK Regulation Number 30 / POJK.04 / 2019 is a debt agreement or a form of debt recognition of the issuing company to MTN holders which is written in the form of a letter or deed which is subject to the provisions generally regulated in the Civil Code and is also subject to the provisions - provisions in the Code of Commercial Law (KUHD). Where in the absence of regulations that specifically regulate, in the end there is no obligation to rank MTN issuance, there is no obligation to provide coverage / guarantees, where in the absence of information disclosure obligations, prospective MTN buyers also do not know with certainty the conditions of the company issuing MTN. The results of this study indicate that the Financial Services Authority has regulated a limited public offering and a public offering for debt securities is regulated based on Law Number 8 of 1995 concerning the Capital Market and other related regulations. Legal protection for consumers or debt securities investors who buy through a limited public offering (MTN) compared to consumers who buy through a public offering (bonds) which in this case is regulated through OJK Regulation Number 30 / POJK.04 / 2019.
