Abstract
Indonesian is the official language of The Republic of Indonesia. As the official state language, Indonesia is commonly used in the drafting of agreements. However, the mandatory use of the Indonesian language in international contracts involving Indonesian parties has generated various interpretations due to the absence of explicit sanctions under Article 31 of Law Number 24 of 2009 concerning the National Flag, Language, State Emblem, and National Anthem. This study aims to conduct an in-depth analysis of the comparative legal interpretations adopted by judicial panels in adjudicating disputes concerning the validity of foreign language contracts governed by Indonesian Law that are not accompanied by an Indonesia language version. Employing normative legal research with statutory and case approaches, this study examines three landmark court decisions characterized by distinct patterns of legal reasoning. The findings reveal a lack of uniformity in judicial approaches. First, the court adopted a strict grammatical interpretation, holding that the language requirement constitutes an objective validity requirement of an agreement. Second. The court applied a strict teleological interpretation, emphasizing the principles of good faith and party autonomy, thereby maintaining that an agreement remains valid and binding as long as its contents do not contravene the law. Third, the court likewise employed a teleological interpretation by construing the language requirement as a formal administrative defect in evidentiary proceedings, resulting in the claim being declared inadmissible. These divergent interpretations create legal uncertainty for contracting parties and the public at large. Therefore, notwithstanding the issuance of Supreme Court Circular Letter Number 3 of 2023, this study argues that additional sanctions for non-compliance with Article 31 of Law Number 24 of 2009 remain necessary to ensure legal certainty regarding language requirements in contractual agreements.
