Abstract

The seizure of fiduciary collateral by the state creates legal disadvantages for financing companies as fiduciary beneficiaries, particularly due to the state’s inconsistent approach, which results in the loss of their right to execute the collateral. This issue not only affects legal practice but also raises fundamental concerns regarding the protection of property rights within a constitutional framework. In practice, state seizure of collateral indirectly eliminates the rights of financing companies, even when they act in good faith, and places on them the burden of proving such good faith. This study analyzes state seizure of fiduciary collateral arising from the debtor’s unlawful acts and examines the legal protection available to financing companies. The research uses a normative legal method with statutory, conceptual, and case approaches, supported by legal materials analyzed qualitatively. The research results show that the state should protect the rightful owner of fiduciary collateral objects; however, the practice of seizure by the state instead extinguishes the rights of fiduciary recipients, and the absence of parameters for good faith gives rise to legal uncertainty. As for financing companies that are not involved, either directly or indirectly, in a criminal act, they may pursue preventive legal remedies, such as requesting recognition as a victim-witness and demanding certainty regarding debt repayment, as well as repressive remedies in the form of tort claims (unlawful act lawsuits), police reports, and third-party opposition (derden verzet) against criminal court decisions in order to defend their rights. Therefore, specific regulations are needed to protect third parties acting in good faith, along with clear standards for assessing good faith and reasonableness. Strengthening guarantee clauses in financing agreements is also necessary to better protect the interests of financing companies.
