Abstract
The existence of minority shareholders in a limited liability company often faces challenges in making decisions through the General Meeting of Shareholders (GMS). This research examines the principle of good faith in the implementation of the Third GMS for minority shareholders with a case study of the Cikarang District Court Decision Number 389/PDT.P/2019/PN.CKR. The main problem in this research is what was the basis for the panel of judges regarding imposition of Niet Ontvankelijke Verklaard in the Third GMS which was conducted in bad faith and how legal protection for minority shareholders when the Third GMS decision is rejected through the Niet Ontvankelijk Verklaard (NO) decision. This research uses a normative juridical method with a statutory and case approach. Data were obtained through literature studies and analysis of legal documents related to Law Number 40 of 2007 concerning Limited Liability Companies (UUPT). The results showed that the NO verdict in this case was based on the vagueness of the petition (obscuur libel) and the discrepancy between posita and petitum. This decision emphasizes that the implementation of the GMS must be in accordance with the principles of Good Corporate Governance (GCG), especially in ensuring the involvement of minority shareholders. The Panel of Judges considered that the petitioner did not fulfill the formal requirements as stipulated in the Company Law, so the petition could not be accepted. The discussion of this research highlights the importance of transparency and compliance with legal procedures in the implementation of the GMS. For minority shareholders, there are several legal mechanisms that can be pursued, such as a lawsuit under Article 61 of the Company Law or liability claims of directors and commissioners under Articles 97 and 114 of the Company Law. As a recommendation, minority shareholders should ensure the clarity of the application before submitting the Third GMS authorization, and consider other legal alternatives such as tort claims if there are indications of abuse of authority in the company.
