Abstract

This research analyzes how the Business Judgment Rule (BJR) doctrine is implemented based on Indonesian law and the legal responsibilities of the President Director of PT Pertamina Hulu Energi in the context of company decision making. The research was written descriptively with a normative juridical type. The approach is carried out through statutory regulations (statue approach) and cases (case approach) which specifically examines the Limited Liability Company Law in the consideration of the Panel of Judges in the Supreme Court Decision Number 121 K/Pid.Sus/2020 concerning Karen Agustiawan. The research results in the form of the use of the BJR doctrine can be applied in this case to protect company directors from liability under certain conditions who act in good faith and have competence and professionalism.
