Abstract
This research aims to examine the reformulation of protective regulations for directors decisions through the business judgement rule’s doctrine in Limited Liability Companies Law. The research method used is normative juridical using four approaches, namely the statutory approach, conceptual approach, case approach and comparative approach. The result of this research is a reformulation of protective regulations for directors decisions through the business judgement rule’s doctrine must be done because the explanation regarding this doctrine in the law still does not explain it in detail and specifically, so that it is still difficult to implement it in cases related to the business judgement rule’s doctrine. Therefore, this reformulation must be carried out in order to create legal certainty and make it easier to implement because there are clear and detailed regulations that regulate it. Apart from that, this research also provides a reference to the business judgement rule’s doctrine can be implemented optimally, namely from the laws and judicial practices in several countries. With the reformulation of protection regulations for director decisions through the business judgement rule’s doctrine, then legal certainty will be created so that it has great potential to advance the country's economy because directors will no longer be afraid to make business decisions for their company.
