Abstract
This research examines the legal protection of non controlling shareholders regarding limited liability company policies. This research aims to analyze the basis of the judge's considerations in the Supreme Court decision Number: 217 PK/Pdt/2014 regarding the decision of the General Meeting of Shareholders of Limited Liability Companies (GMS) towards non-controlling shareholders, as well as analyzing legal protection for noncontrolling shareholders in Limited Liability Companies. The research method applied in this research is normative juridical. The results of this research explain that it is necessary to regulate legal protection for non-controlling shareholders in company law which can be implemented in the company's deed of establishment and emphasize the importance of legal protection for non-controlling shareholders in preventing actions that could be detrimental to them. In addition, it highlights the importance of implementing Good Corporate Governance (GCG) principles to protect non-controlling shareholders. In this context, transparency and fairness are the main principles that must be applied in the relationship between companies and non-controlling shareholders.
